1. Using this site

These Terms of Use govern your use of braincelllabs.com (the "site"), operated by Braincell Labs LLC ("Braincell Labs," "we," "us"). By using the site, you agree to these terms and to our Privacy Policy. If you don't agree, please don't use the site. If you use the site on behalf of a company, you confirm you're authorized to accept these terms for it.

2. Information, not advice

The content on this site, including descriptions of our services, examples and case studies, is general information about Braincell Labs and what we do. It is not professional, legal, financial, security or technical advice for your situation. Any advice we give is provided only under a written agreement for the specific engagement.

3. Case studies and results

Case studies, metrics and examples on the site describe outcomes from specific engagements and from our team members' prior operating roles, some of which took place before Braincell Labs was formed. Results depend on many factors unique to each organization, including its data, systems, people and processes. They are not a promise or guarantee of results for you.

4. Inquiries and what you send us

• No engagement until we both sign. Submitting the contact form or emailing us does not create a client relationship or obligate either of us to anything. We provide services only under a written agreement signed by both parties.
• Keep it non-confidential. Please don't send confidential or sensitive information, such as trade secrets, passwords, financial account numbers or health information, through the form or by email before we've agreed on confidentiality terms. We handle what you send according to our Privacy Policy, but we don't take on confidentiality obligations until we've signed a nondisclosure or services agreement with you.
• Ideas. Unless we've signed an agreement saying otherwise, sharing an idea with us doesn't prevent us from independently developing or working on similar ideas, and you don't owe us anything for sharing it.
• Accuracy. You agree that the information you submit is accurate and that you have the right to share it.

5. Our content and brand

The site and its content, including text, graphics, images, design, and the Braincell Labs name and disco-brain logo, are owned by Braincell Labs or its licensors and protected by intellectual property laws. You may view and share links to the site for personal or internal business purposes. You may not copy, modify, distribute or use our content, name or logo for any other purpose without our written permission.

6. Acceptable use

You agree not to:

• Use the site in violation of any law
• Attempt to gain unauthorized access to the site or its systems, or interfere with how it works
• Send spam, malware or automated submissions through the contact form
• Scrape or harvest content or information from the site at scale without our permission
• Impersonate another person or misrepresent your affiliation with anyone

7. Third-party links

The site may link to websites and services run by others. We don't control them and aren't responsible for their content, policies or practices. Visiting them is at your own risk and subject to their terms.

8. Disclaimers

The site is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We don't guarantee that the site will be uninterrupted, error-free or free of harmful components, or that its content is complete or current.

9. Limitation of liability

To the fullest extent permitted by law, Braincell Labs and its owners, team members and service providers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, data or business opportunities, arising from your use of or inability to use the site. Our total liability for any claim relating to the site will not exceed one hundred U.S. dollars ($100). Some jurisdictions don't allow certain limitations, so some of these may not apply to you.

10. Indemnity

You agree to defend, indemnify and hold harmless Braincell Labs from claims, losses and expenses, including reasonable legal fees, arising from your misuse of the site or your violation of these terms.

11. Governing law

These terms are governed by the laws of the State of Michigan, without regard to its conflict-of-law rules. Any dispute relating to the site or these terms will be brought exclusively in the state or federal courts located in Oakland County, Michigan, and you consent to their jurisdiction.

12. Changes to these terms

We may update these terms from time to time. Changes take effect when posted, and we'll update the effective date at the top of this page. Continuing to use the site after changes are posted means you accept them. If any part of these terms is found unenforceable, the rest remains in effect.
